Terms of Use and End User License Agreement
Structured Service Support LLC
Effective Date: October 21, 2026
Last Updated: October 21, 2026
These Terms of Use and End User License Agreement (the "Terms") are a binding agreement between Structured Service Support LLC, an Oklahoma limited liability company ("SSS," "we," "us," or "our"), and the business entity that registers for or uses our service (the "Customer," "Shop," or "you"). They govern access to and use of SSS's software-as-a-service application for fleet, heavy-truck, and mobile repair shops, including our website at https://structuredservicesupport.com, our web application at https://structuredservicesupport.com, and related services (together, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.
Our Privacy Policy at https://structuredservicesupport.com/privacy explains how we handle information and is incorporated into these Terms.
1. Definitions
- "Authorized User" means an individual whom you invite or allow to use the Service under your account, such as your owners, managers, office staff, and technicians.
- "Customer Data" means all data, records, files, images, and other content that you or your Authorized Users submit to, or generate through, the Service, including work orders, invoices, customer and fleet records, inventory, purchase orders, vendor information, receipts, dispatch and location data, mileage, PM records, and knowledge base content.
- "Tenant" means your separate, logically isolated account environment within the Service.
- "Third-Party Services" means products and services not provided by SSS, such as QuickBooks Online, that you choose to connect to the Service.
2. Eligibility, Accounts, and Tenants
2.1 Business use only. The Service is for business use by repair shops and similar businesses operating in the United States. It is not intended for personal, family, or household use. Authorized Users must be at least 21 years old. By inviting an Authorized User, you represent that the individual meets this minimum age.
2.2 Account registration. You must provide accurate and complete information when registering and keep it up to date. Each Customer receives its own Tenant.
2.3 Authorized Users. You are responsible for: (a) who you invite and the roles and permissions you assign; (b) all activity under your account; (c) ensuring Authorized Users comply with these Terms; and (d) promptly removing access for individuals who should no longer have it.
2.4 Credentials. Keep login credentials confidential. Credentials may not be shared between individuals. Notify us promptly at jg1billed@gmail.com if you suspect unauthorized access.
3. License to Use the Service
3.1 License grant. Subject to these Terms and payment of applicable fees, SSS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during your subscription term for your Authorized Users to access and use the Service for your internal business operations.
3.2 Reservation of rights. The Service, including its software, design, documentation, and all improvements, is owned by SSS and its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
3.3 Feedback. If you provide suggestions or feedback, SSS may use them without restriction or obligation to you.
4. Subscriptions, Fees, and Taxes
4.1 Plans and fees. Fees, plan features, user limits, and billing frequency are described at https://structuredservicesupport.com or in your order form. Unless otherwise stated, fees are billed in advance on a recurring basis (monthly or annually) and automatically renew until canceled.
4.2 Payment. You authorize SSS and its payment processor to charge your designated payment method for all fees when due. Subscription payments are processed by our third-party payment processor, CardPointe (CardConnect, a Fiserv company), and are subject to its terms; SSS does not store full card numbers.
4.3 Late or failed payment. If payment fails or is late, SSS may suspend access after giving you notice and 10 days to cure. Data is not deleted during suspension.
4.4 Price changes. We may change fees with at least 30 days' notice, effective at your next renewal.
4.5 Refunds. Except where required by law or expressly stated otherwise, fees are non-refundable, including for partial periods.
4.6 Taxes on SSS's fees. Fees do not include taxes. Software-as-a-service subscriptions are subject to sales, use, or similar taxes in some states. You are responsible for all sales, use, value-added, and similar taxes on SSS's fees, other than taxes on SSS's net income. SSS will charge and collect taxes on its fees where required based on your billing or service address. If you claim an exemption, you must provide a valid exemption certificate.
5. Customer Data
5.1 You own your data. As between you and SSS, you own all Customer Data. SSS claims no ownership of Customer Data.
5.2 License to SSS. You grant SSS a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, display, and back up Customer Data only as necessary to provide, secure, support, and improve the Service for you, to comply with law, and as otherwise described in the Privacy Policy. SSS acts as your processor/service provider for personal information in Customer Data and will not sell it, share it for cross-context behavioral advertising, or use it outside the direct business relationship with you except as permitted by law.
5.3 Aggregated data. SSS may create and use aggregated or de-identified data derived from use of the Service that does not identify you, any individual, or any of your customers, to operate and improve the Service.
5.4 Your responsibilities. You are responsible for the accuracy, quality, and legality of Customer Data and for having all rights, notices, and consents needed to submit it to the Service and to let SSS process it, including:
- notices to your customers about how you use their information;
- notices to and consents from your employees and technicians, including for GPS/location collection while on jobs and any other workplace monitoring, as required by applicable law; and
- compliance with any laws that apply to your business records.
5.5 Receipts and record retention. Receipt images and purchase records are retained for seven (7) years and are voided rather than deleted to preserve accounting records. Payment card numbers on receipts are masked to the last four digits; you agree not to upload or enter full payment card numbers, Social Security numbers, or other highly sensitive data not required by the Service.
5.6 Audit log. The Service keeps an append-only audit log of key actions and approvals. You acknowledge that audit log entries cannot be edited or deleted through the Service.
5.7 Security. SSS will use reasonable administrative, technical, and physical safeguards designed to protect Customer Data, as described in the Privacy Policy. SSS will notify you without undue delay of a confirmed security breach affecting your Customer Data.
6. Acceptable Use
You and your Authorized Users will not:
- use the Service in violation of any law, including privacy, employment, consumer protection, tax, and export laws;
- upload unlawful, infringing, defamatory, or harmful content, or malware;
- attempt to access another Customer's Tenant or data, or bypass security, authentication, or tenant isolation controls;
- probe, scan, or test vulnerabilities without SSS's written permission;
- reverse engineer, decompile, or attempt to derive source code, except to the extent applicable law expressly permits;
- copy, resell, sublicense, frame, or provide the Service to third parties as a service bureau, or use it to build a competing product;
- use bots, scrapers, or automated means to access the Service except through APIs SSS provides, or place unreasonable load on the Service;
- track the location of any person without required notice and consent, or outside working time on jobs; or
- misuse integrations, including using the Service to access Third-Party Services in violation of their terms.
SSS may suspend access that SSS reasonably believes violates this Section or threatens the security or integrity of the Service, with notice where practical.
7. Third-Party Services and Integrations
7.1 Generally. The Service may interoperate with Third-Party Services you choose to enable. Your use of a Third-Party Service is governed by your agreement with its provider. SSS does not control and is not responsible for Third-Party Services, their availability, or their handling of your data. By enabling an integration, you authorize SSS to exchange Customer Data with that Third-Party Service as needed for the integration.
7.2 QuickBooks Online. If you connect your QuickBooks Online ("QBO") company:
- You connect your own QBO company through Intuit's OAuth 2.0 authorization, granting the accounting scope only. SSS never receives your QBO password. OAuth tokens are encrypted and stored server-side, never in the browser.
- SSS is the source of truth for operations. SSS pushes customers, items (summarized categories), invoices, vendors, and bills or purchases with receipt images to QBO. Payments sync both ways; payments recorded in QBO are retrieved for your collections dashboard.
- SSS does not create or change your chart of accounts and does not sync payroll. You are responsible for mapping and maintaining your QBO accounts, items, and settings.
- SSS may send its calculated sales tax amount to QBO, which may override QBO's automated sales tax for that transaction (see Section 8).
- You are responsible for reviewing data in QBO and reconciling your books. SSS is not responsible for errors caused by changes made directly in QBO, QBO outages, Intuit API changes, or your QBO configuration.
- You may disconnect at any time. Disconnecting revokes SSS's tokens, and SSS will promptly delete them on disconnection or account closure. Data already synced to QBO stays in your QBO company.
- Data SSS receives from Intuit is used only to provide the Service to you, and is never sold, used across tenants, or used for advertising.
- Intuit Inc. is not a party to these Terms, is not responsible for the Service, and has no liability to you in connection with the Service. SSS is not affiliated with, sponsored by, or endorsed by Intuit.
7.3 Other providers. The Service relies on hosting and service providers, including Supabase (database, authentication, storage) and Cloudflare (hosting and serverless processing), an email delivery provider, and, where used, a third-party sales tax rate service and AI service provider. These providers are listed in our Privacy Policy.
8. Sales Tax Features
8.1 How it works. The Service calculates sales tax on your invoices using your per-shop settings, such as labor and parts taxability, tax-exempt customers, job address, and tax rates you enter or that are supplied by a third-party tax rate service. The Service may send the calculated tax amount to QBO, overriding QBO's automated tax, and will flag mismatches it detects between SSS and QBO. Sales tax on purchases (receipts) is tracked according to your settings.
8.2 Your responsibility. You are solely responsible for: (a) your tax settings and their accuracy; (b) determining the taxability of your labor, parts, and services in each jurisdiction; (c) collecting, validating, and retaining exemption certificates; (d) reviewing tax amounts on invoices; and (e) filing and paying all sales, use, and other tax returns. SSS does not file tax returns or remit taxes for you.
8.3 Rates from third parties. Tax rates from a third-party service may be incomplete, delayed, or wrong for a given address. SSS does not warrant the accuracy of any tax rate or calculation.
9. Disclaimers
9.1 No professional advice. SSS does not provide tax, legal, accounting, or financial advice. Information and calculations in the Service are tools to assist your business; consult qualified professionals for advice.
9.2 Guidance only. The repair knowledge base and any price suggestions are general guidance only. They are not manufacturer repair procedures, specifications, or safety instructions, and may be contributed by users and may be incomplete or wrong. Always follow the applicable manufacturer's procedures, specifications, and safety requirements, and use qualified judgment. You are solely responsible for repairs performed and prices charged.
9.3 Vendor hints. Any "cheapest vendor" or similar hint is a suggestion only, based on price data entered in your Tenant, which may be outdated. It does not consider availability, quality, warranty, shipping, or other factors, and SSS does not endorse any vendor.
9.4 AI-assisted features. If AI-assisted features (such as receipt reading) are offered, their output may contain errors and is provided for human review. You must review and confirm AI-suggested values before relying on them. SSS will require AI vendors not to train their models on Customer Data.
9.5 Location and dispatch. GPS and location data depend on devices, networks, and permissions and may be inaccurate or unavailable. Do not rely on the Service for emergency response or safety-critical decisions.
9.6 AS IS. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SSS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SSS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.
10. Availability and Support
10.1 No uptime guarantee. SSS will use commercially reasonable efforts to keep the Service available, but does not guarantee any specific uptime or service level. The Service may be unavailable due to maintenance, updates, failures of hosting or third-party providers, internet outages, or events beyond our control. We will try to give advance notice of planned maintenance.
10.2 Support. Support requests are accepted 24 hours a day, 7 days a week, by email at jg1billed@gmail.com and phone at 580-257-9488. Response times vary, and SSS does not guarantee a response within any particular time unless agreed in a separate written service-level agreement.
10.3 Changes to the Service. SSS may add, change, or remove features. If we remove a material feature you rely on, we will try to give reasonable advance notice.
10.4 Backups. SSS maintains backups through its infrastructure providers, but you are encouraged to regularly export important records.
11. Limitation of Liability
11.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR BUSINESS, TAX PENALTIES OR INTEREST, COST OF SUBSTITUTE SERVICES, OR LOSS OR CORRUPTION OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO SSS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11.3 Exceptions. The limits in this Section do not apply to your payment obligations, a party's indemnification obligations, your breach of Section 6 (Acceptable Use), or liability that cannot be limited by law.
12. Indemnification
12.1 By you. You will defend, indemnify, and hold harmless SSS and its members, managers, employees, and agents from and against third-party claims, losses, damages, fines, and expenses (including reasonable attorneys' fees) arising from: (a) Customer Data, including your lack of required notices or consents (including for location tracking of employees); (b) your or your Authorized Users' violation of these Terms or law; (c) your tax settings, tax calculations, exemption certificates, and tax filings or failures to file; (d) repairs, services, or prices you provide to your customers; or (e) your use of Third-Party Services.
12.2 By SSS. SSS will defend you against third-party claims alleging that the Service, as provided by SSS, infringes a U.S. patent, copyright, or trademark or misappropriates a trade secret, and pay resulting damages finally awarded or agreed in settlement. This does not apply to claims arising from Customer Data, Third-Party Services, combinations with items not provided by SSS, or modifications not made by SSS. If the Service is or may become subject to such a claim, SSS may modify it, obtain a license, or terminate your subscription and refund prepaid unused fees. This is your exclusive remedy for infringement claims.
12.3 Procedure. The indemnified party must promptly notify the indemnifying party, give it control of the defense and settlement (except no settlement may impose obligations on the indemnified party without its consent), and provide reasonable cooperation.
13. Term, Termination, Data Export, and Deletion
13.1 Term. These Terms apply while you have an account or use the Service.
13.2 Cancellation by you. You may cancel at any time in your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
13.3 Termination or suspension by SSS. SSS may suspend or terminate your access: (a) if you materially breach these Terms and fail to cure within 15 days after notice; (b) immediately, if needed to prevent harm to the Service, other customers, or third parties, or to comply with law; or (c) for convenience with 60 days' notice, with a refund of prepaid unused fees.
13.4 Data export. During your subscription and for 30 days after termination, you may export your Customer Data in a commonly used format (such as CSV, and receipt images in their stored format) using the Service's export tools or by request.
13.5 Deletion. After the export period, SSS will delete or de-identify your Customer Data within 90 days, except (a) records SSS must retain under law, (b) receipt and purchase records retained for the seven-year period described in the Privacy Policy, (c) data subject to a legal hold, and (d) backup copies, which are overwritten in the ordinary course. QBO tokens are deleted promptly upon disconnection or account closure; data already synced to QBO remains in your QBO company.
13.6 Survival. Sections 3.2, 3.3, 4 (for amounts owed), 5, 8.2, 9, 11, 12, 13, 14, and 16 survive termination.
14. Governing Law and Dispute Resolution
14.1 Governing law. These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws principles.
14.2 Informal resolution. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice and good-faith discussions for at least 30 days.
14.3 Forum. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state courts located in Johnston County, Oklahoma, and each party consents to that jurisdiction and venue. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14.4 Time limit. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
15. Changes to These Terms
SSS may update these Terms from time to time. We will post the updated Terms at https://structuredservicesupport.com/terms and update the "Last Updated" date. For material changes, we will notify account owners by email or in-app notice at least 30 days before they take effect. If you do not agree to the changes, you may cancel before they take effect. Continued use after the effective date means you accept the updated Terms.
16. General
- Entire agreement. These Terms, the Privacy Policy, and any order form are the entire agreement between the parties about the Service. If there is a conflict, a signed order form controls, then these Terms, then the Privacy Policy.
- Assignment. You may not assign these Terms without SSS's written consent. SSS may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (other than payment obligations).
- Independent contractors. The parties are independent contractors.
- Notices. SSS may give notice by email to your account owner or in the Service. You may give notice to SSS at the contact details below.
- Severability and waiver. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
- Export and sanctions. You will comply with U.S. export control and sanctions laws.
- U.S. Government users. The Service is "commercial computer software" provided with only the rights granted in these Terms.
